2020 Varicent Fall SPM Summit CONTEST RULES
("Contest")

SPONSOR: VARICENT US OPCO CORPORATION, 200 CLARENDON STREET, FL. 29, BOSTON, MA 02116-5021 USA.

These are the terms and conditions (the “Official Rules”) that govern the relationship between entrants and Sponsor in respect of this Contest. By participating in this Contest, each entrant confirms that it has legal capacity to enter this Contest and that it unconditionally accepts and agrees to comply with and abide by these Official Rules and the decisions of Sponsor, which shall be final and binding in all respects. These Official Rules can be found at www.varicent.com.

OFFICIAL CONTEST RULES
  1. NO PURCHASE NECESSARY.

  2. Dates:

    Contest begins on 10 AM EST. October 15, 2020 and will end 10 AM EST October 27, 2020 (“Promotion Period”). All entries must be received by Varicent by 10 AM EST on October 27, 2020. For purposes of these Official Rules, all times are U.S. Eastern Standard Time (EST). Sponsor will not verify receipt of entries. Please visit http://www.worldtimeserver.com/ or other world time database to determine local time.

  3. Eligibility:

    Open only to legal residents of the 50 United States (and the District of Columbia), Canada (excluding the province of Quebec) and the United Kingdom (collectively, the “Territory”) who are 21 years of age or older, who received the 2020 Varicent Fall SPM Summit Invite Email directly from Sponsor and who have a valid and active email account. Opportunity to participate in the Contest is valid only for the intended recipient of same and is not transferable. CONTEST NOT OPEN TO THE GENERAL PUBLIC. Employees of the Sponsor and its affiliates, sponsors and exhibitors, and members of the immediate families of each are not eligible. Sponsor may prohibit an entrant from participating in the Contest or winning a prize if, in its sole discretion, it determines that said entrant is attempting to undermine the legitimate operation of the Contest by cheating, hacking, deception, or other unfair playing practices (including the use of automated quick entry programs or misrepresenting or defrauding Sponsor in conjunction with a colleague’s registration for the 2020 Varicent Fall SPM Summit) or intending to annoy, abuse, or threaten any other persons in conjunction with Contest participation (including registering persons for the 2020 Varicent Fall SPM Summit without their prior consent) or Sponsor representatives (or having the effect of or potential to do any of these as determined by the Sponsor).

    By participating in the Contest and in the event you win a prize, by accepting a prize, you hereby confirm and represent to VARICENT that you obtained any necessary consents from supervisory personnel at your employer, prior to entering the Contest and are eligible to receive the prize under applicable law and the policies of your employer; and, upon VARICENT’s request, to complete/sign/return documentation confirming same. Sponsor is not responsible for your compliance with such law or policies.

    THIS CONTEST IS VOID OUTSIDE THE TERRITORY AND WHERE PROHIBITED BY LAW AND SUBJECT TO ALL FEDERAL, STATE, PROVINCIAL/TERRITORIAL, LOCAL AND MUNICIPAL LAWS. APPROXIMATELY 1,000 PERSONS WERE SENT THE INVITE EMAIL BY SPONSOR, BUT THE ODDS OF WINNING THE PRIZE OF A $150 AMAZON GIFT CARD DEPEND ON NUMBER OF ELIGIBLE ENTRIES RECEIVED.

  4. How to Enter:

    Eligible/invited persons must enter the contest by sharing the link provided in the email invitation with five (5) different colleagues to join the 2020 Varicent Fall SPM Summit on October 29, 2020. The five (5) different colleagues must register for the 2020 Varicent Fall SPM Summit with the link provided in the email shared by the original invited person. (Email account used to register must be the same one to which Sponsor sent the Invite Email. Corporate email addresses only, free email domains, example Hotmail, Gmail, Yahoo are not accepted"). Entry into the Contest indicates acceptance of these Official Rules.

    You may enter only once during the Promotion Period. Participants cannot use their own referral link to register. Those who registered using the referral link will also receive their own referral link but they cannot share it with the same people who registered.

    To be eligible, the Entry must comply with all the following:

    • Five (5) Colleagues - Must register for the 2020 Varicent Fall SPM Summit using the shared link provided by the participant.
    • All must be employed by the same company and in a position, which relates to the use of Sponsor’s software products.

    Collection and use of personal information is subject to VARICENT’s Privacy Policy found at https://www.varicent.com/privacy-policy. Please see rule 10 for further information.

    All Entries are subject to verification by the Sponsor at any time and for any reason. The Sponsor reserves the right, in its sole and absolute discretion, to require proof of identity and/or eligibility (in a form acceptable to the Sponsor): (i) for the purposes of verifying an individual’s eligibility to participate in this Contest; (ii) for the purposes of verifying the eligibility and/or legitimacy of any Entry or other information entered (or purportedly entered) for the purposes of this Contest; and/or (iii) for any other reason the Sponsor deems necessary, in its sole and absolute discretion, for the purposes of administering this Contest in accordance with these Rules. Failure to provide such proof to the complete satisfaction of the Sponsor within the timeline specified by the Sponsor may result in disqualification in the sole and absolute discretion of the Sponsor.

  5. Prize:

    There will be a total of twenty-five (25) winners. The original person who shared the link with the five (5) colleagues will receive a $150.00 Amazon® Gift Card (“winner”).* The five (5) colleagues of the winner (as listed on winning entry) will each receive a $10.00 Starbucks® Gift Card.* All gift cards values will be in USD. No substitution or transfer of prize permitted except as determined in Sponsor’s sole discretion. Sponsor reserves the right to substitute a prize of equal or greater value due to prize unavailability for any reason. Prize is not redeemable for cash unless required by applicable law. Gift cards are subject to the terms of their respective issuer which vary by jurisdiction. All other expenses not expressly specified herein are the sole responsibility of the winners.

    *No sponsorship, endorsement, authorization or association is intended or implied. Third party trademarks are used herein solely for prize identification purposes.

  6. Award

    Prize winners will be selected in a random drawing of all valid and eligible entries received, to be held on or about October 27th, 2020 after 11 AM EST (the “Drawing Date”), at VARICENT’S offices in Boston, MA USA using random electronic software. Each Entrant and colleague is only eligible to win one prize.

    By participating, Entrants and colleagues agree to abide by and be bound by these Official Rules and the decisions of the judges, which shall be final and binding with respect to all issues relating to this Contest. Entrants and colleagues must be deemed eligible by the Sponsor to receive a prize prior to the prize being awarded.

    The winners will be contacted via email by Varicent following the Drawing Date and must respond by return email within 3 days of the notification email. If a winner: (a) cannot be contacted after two (2) attempts of the winners' selection; (b) does not respond within three (3) days of notification for any reason, or (c) is unable to accept the prize, then the prize is forfeited (i.e., both the Amazon gift card for the winner and the Starbucks gift cards for his/her colleagues) and a further draw(s) will be conducted to select an alternate winner from among all remaining valid and eligible entries received.

    Noncompliance with these Official Rules, as determined by the Sponsor, will result in disqualification and an alternate winner may be selected.

    To be designated as a prize winner, Canadian residents selected in the random drawing must first correctly answer a mathematical skill-testing question within a Sponsor indicated time period.

  7. Release

    By entering this Contest, Entrants and colleagues agree to release and agree to hold harmless Sponsor, its parent company, subsidiaries, affiliates; any entities in any way involved in the development/design/conduct of the Contest; the officers, directors, shareholders, employees, agents, representatives, successors and assigns of any of the foregoing organizations; from all liability for any loss, harm, damage, or expense, arising out of participation in the Contest, any Contest-related activity or the acceptance, use or misuse of prize. For residents of the United Kingdom only, the preceding does not apply to claims for death, personal injury and/or negligence by or on behalf of VARICENT or its agencies, entrants, and colleagues do not release or hold harmless Sponsor, its parent company, subsidiaries, affiliates; any entities in any way involved in the development/design/conduct of the Contest; the officers, directors, shareholders, employees, agents, representatives, successors and assigns of any of the foregoing organizations; from all liability for death, personal injury and/or negligence by or on behalf of VARICENT or its agencies.

    Subject to obtaining each winner's consent, Sponsor may also publicise the winner's name and home city in a list of winners and use the winner's personal information (including the winner's name, photograph or other likeness) in all media and formats whether now or later known or developed, without any time or territorial limit and without further notice or compensation, and may require their appearance at publicity events without any additional compensation (save for reasonable travel expenses) as required by us to identify them as a winner of this Contest (including on the Sponsor's or any third party media company's websites, publications and social media platforms) without any further reference, payment or other compensation to the winner.

    LIMITATIONS OF LIABLITY: VARICENT and its agencies are not responsible for

    • late, lost, damaged, delayed, misdirected, corrupted, jumbled, inaccessible or incomplete entries (all of which are void); or
    • for electronic, programming, technological, hardware/software or network failures, errors or malfunctions of any kind which prevent the Contest from being conducted as originally intended.

    FORCE MAJEURE: If the Contest cannot be conducted as originally intended due to any occurrence beyond the control of VARICENT (i.e., a force majeure event, such as pandemic/epidemic, materials shortage, natural disaster, unauthorized human intervention, act of fraud, riot, strike or civil commotion), VARICENT may modify, terminate or suspend the Contest and select winners from among all valid and eligible entries received prior to and/or after (as appropriate) the action taken by VARICENT or otherwise in a manner determined in its sole discretion to be fair, appropriate and consistent with these Official Rules. Notice of such action by VARICENT will be provided to all persons who received the Invite Email from VARICENT.

  8. Choice of Law:

    All issues and questions concerning the construction, validity, interpretation and enforceability of these Official Rules, or the rights and obligations of Entrants and Sponsor in connection with this Contest, shall be governed by, and construed in accordance with, the substantive laws of the Commonwealth of Massachusetts, USA without regard to Massachusetts choice of law/conflict of law rules. Any disputes shall exclusively be referred to the courts in and for the Commonwealth of Massachusetts, with Entrants agreeing to the personal jurisdiction of such courts and expressly waiving any right of change of venue, forum non conveniens or the like. Recovery in any such action shall be limited to actual costs involved in participating in the Contest (if any) with all other costs (including attorneys fees) as well as damages and other available remedies being expressly waived. To the fullest extent permitted by law, any action must be brought individually and not as part of a class.

    UK entrants: This Contest and these Official Rules are governed by English law and by entering this Contest, Entrants acknowledge and agree to submit to the non-exclusive jurisdiction of the English courts.

  9. Winners List:

  10. Privacy: The Sponsor is the "controller" of any personal information Entrants provide when entering this Contest. The Sponsor collects entrants' personal information (name, email, job title) that Entrants provide when entering this Contest for its legitimate interests, including for the purposes of entrants' entry into this Contest, to conduct and administer the Contest and to fulfil prizes.

    Any personal information supplied by entrants will be subject to the privacy policy of the Sponsor found at https://www.varicent.com/privacy-policy. Please review the Sponsor's privacy policy for more information about the manner and purposes for which the Sponsor collects and uses personal information, and entrants' rights in respect of the personal information that the Sponsor holds. Entrants have a number of rights in relation to their information, including rights to request access, correction or deletion of the information collected and/or processed by Sponsor about them. These rights can be exercised by making a written request to marketing@varicent.com.

    If information requested is not provided, entrant will not be able to submit a valid entry into this Contest or claim a prize if selected as the winner. Sponsor may disclose this personal information to third parties for the sole purpose of processing and conducting this Contest.

    Unless, Entrant has explicitly opted-in to receiving marketing communications from Sponsor, Sponsor will hold other personal information collected from Entrant within two (2) years after this Contest is completed, in case of regulatory investigation into this Contest, but Sponsor will destroy it after that, save for information used for publicity purposes. If Entrant has agreed to receive marketing communications from Sponsor, Entrant will be added to Sponsor's database, but Sponsor will not share Entrant's information with third parties unless Entrant specifically agrees to Sponsor sharing these details and Entrant can opt out at any time by unsubscribing from emails using the opt-out link or by emailing us directly at marketing@varicent.com. Communications may include but are not restricted to news and offers.
