Software Schedule:
Varicent Lift

The following are the specific terms and conditions for the Software entitled “Varicent Lift” (“Varicent Lift”) ordered by Customer as a Cloud Service pursuant to the Varicent Cloud Service Agreement (the “Agreement”) at https://www.varicent.com/legal_documents. Capitalized terms shall have the meanings set forth in the Agreement or elsewhere herein.

1. DESCRIPTION OF VARICENT LIFT

1.1. Varicent charges for use of Varicent Lift on a “per Entitlement” basis. What constitutes a single “Entitlement” for Varicent Lift’s components is described below. Customer shall purchase sufficient Entitlements for its intended use of the Cloud Service. Additional Entitlements may be added at any time upon the Parties’ execution of an Order for such Entitlements.

1.2. Varicent Lift. Varicent Lift aggregates, consolidates and visualizes pipeline data including pipeline reports, forecast changes, and client engagement tied to opportunities within Customer’s revenue operations. Varicent Lift integrates with Customer’s Customer Relationship Management (CRM) solution and is accessible by its users via a web interface. The Cloud Service for Varicent Lift includes access to Varicent Lift web application to registered Salesforce users that have an active Standard or CSNOnly Salesforce license. Customer must obtain a sufficient number of each of the following Entitlements in order to use the Cloud Service for Varicent Lift:

a) Opportunity Owner. One Entitlement per Opportunity Owner. An "Opportunity Owner" means a Customer representative who has been assigned primary ownership of one or more sales opportunities.

1.3. Customer agrees that Customer Data that is exported from Varicent Lift to another Varicent Software product shall be governed only by the terms and conditions of the Software Schedule for the product in which the data is stored, and not by this Software Schedule. Furthermore, Customer acknowledges and agrees that Varicent's assistance with the transfer of Customer Data to another Varicent Software product, by automatic means or manually at Customer's direction, is compliant with Varicent's obligations in the Agreement and the license in Section 8.1 therein.

2. VARICENT LIFT CERTIFICATION

2.1. Varicent is subject to the following annual certifications of compliance in respect of the Cloud Service for Varicent Lift:

(a) ISO 27001
(b) SOC 2

3. SUBPROCESSORS

3.1. Subprocessors for Varicent Lift are outlined below. Varicent may add additional hosting and processing locations in accordance with the Data Security Standards.
